Welcome to VidReelz!

These Terms of Use (“Terms”) govern your access to and use of VidReelz.com, our mobile experiences, and all related services, content, features, and applications (collectively, the “Service”) provided by VidReelz (“VidReelz,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

Important: These Terms are a general template and do not constitute legal advice. You should have a qualified attorney review and adapt them for your specific business, jurisdiction, and use case.

1. Eligibility and Accounts

1.1 Eligibility
To use the Service, you must:
  • Be at least 18 years old or the age of majority in your jurisdiction; or
  • If you are between 13 and 17, have your parent or legal guardian’s permission and supervision to use the Service.
The Service is not intended for children under 13 years of age. If you are under 13, you may not use the Service.

1.2 Account Registration
To access certain features (such as viewing content, uploading content, or managing a creator/talent profile), you may need to create an account.

You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your information
  • Keep your login credentials secure and confidential
  • Immediately notify us of any unauthorized access or use of your account
You are responsible for all activities that occur under your account, whether or not authorized by you.

2. Types of Users

VidReelz serves multiple user types, including:

  • Viewers – Users who watch and interact with content.
  • Creators / Filmmakers – Users who upload or distribute films, series, short-form video, and other media.
  • Actors & Talent – Users who maintain talent profiles, demo reels, or casting-related information.
  • Industry Partners / Gatekeepers – Agents, casting directors, producers, platforms, and studios who may browse, review, or license content and talent via the Service.
These Terms apply to all users. Additional or separate agreements may apply to certain programs (e.g., revenue share, licensing, or talent agreements). If there is a conflict, those specific agreements generally control for the relevant program.

3. Subscriptions, Purchases, and Payments

3.1 Subscriptions and Paid Services
VidReelz may offer:
  • Free, ad-supported access
  • Paid subscriptions (e.g., ad-free, premium libraries, early access)
  • Pay-per-view rentals or purchases
  • Creator-facing services or tools
The specific features, prices, and benefits of each plan or purchase will be described at the time you sign up. We may modify or discontinue offerings at any time, subject to applicable law and any specific contractual commitments.

3.2 Billing and Payment
By purchasing a subscription or paid content, you authorize us and our third-party payment processors to charge your selected payment method for all applicable fees, including recurring subscription charges (if any), taxes, and any other charges you incur in connection with your use of paid features.

You represent and warrant that:

  • You are authorized to use the payment method you provide
  • The information you provide is accurate and up to date

3.3 Auto-Renewal and Cancellation
If your plan includes auto-renewal:
  • Your subscription will automatically renew at the end of each billing cycle at the then-current rate, unless you cancel before the renewal date.

Unless required by law or explicitly stated otherwise, fees are non-refundable and partial billing periods are not prorated upon cancellation.

3.4 Price Changes
We may change subscription or other fees from time to time. If we do:
  • We will provide notice (e.g., by email or in-Service message) before changes take effect.
  • Continued use of the Service after price changes become effective constitutes your acceptance of the new prices.

4. License to Use the Service

Subject to these Terms, VidReelz grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Service for your personal, non-commercial use (as a viewer); or
  • Access and use the Service to upload, manage, and distribute your content (as a creator/talent), subject to any separate agreements and these Terms.
    • You agree not to use the Service for any unlawful or prohibited purpose.

5. User Content and Creator Licenses

5.1 User Content
“User Content” means any content that you upload, submit, post, or otherwise make available through the Service, including:
  • Films, series, short-form videos, pilots
  • Thumbnails, artwork, titles, descriptions, and tags
  • Talent reels, headshots, bios, resumes
  • Comments, reviews, messages, and other text or media
You retain ownership of your User Content, subject to the license you grant to VidReelz below.

5.2 Your Responsibility for User Content
You are solely responsible for your User Content and represent and warrant that:
  • You have all necessary rights, licenses, and permissions to upload and share the content through the Service;
  • Your User Content does not infringe or violate any third-party rights (including copyright, trademark, privacy, or publicity rights);
  • Your User Content complies with these Terms and with applicable laws and regulations.
VidReelz does not endorse any User Content and is not responsible or liable for it.

5.3 License to VidReelz
By uploading or submitting User Content to the Service, you grant VidReelz a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to:
  • Host, store, reproduce, modify (for technical reasons, e.g., encoding, compression, formatting), adapt, translate, distribute, publicly perform, and publicly display your User Content in connection with operating, promoting, and improving the Service;
  • Create promotional materials or highlights (e.g., trailers, thumbnails, curated lists, showcases, compilations) featuring your User Content;
  • Make your User Content available to viewers and, where applicable, to industry partners (e.g., agents, casting directors, platforms) for discovery, evaluation, and potential licensing opportunities.
This license continues for as long as your User Content is available on the Service and for a reasonable period afterward to support archival, backup, and legal obligations. Additional license terms may apply if you enter into a separate distribution or revenue-sharing agreement.

5.4 Removal of User Content
You may request removal of your User Content from the Service (subject to contractual or legal obligations) by contacting us or using available account tools. However:
  • Removal may not be immediate from all caches, backups, or mirrors;
  • We may retain User Content as required by law, for dispute resolution, or as needed to enforce these Terms.
VidReelz may remove or restrict access to any User Content at any time, with or without notice, if we believe it violates these Terms, our policies, or applicable law, or if it poses a risk to users or third parties.

6. Viewer License and Content Usage

When you watch content on VidReelz:

  • You receive a limited, personal, non-transferable license to stream or view the content through the Service, solely for non-commercial, private viewing.
  • You may not download, copy, capture, redistribute, or publicly perform the content outside the Service, except where expressly permitted (e.g., if a specific download feature is clearly offered and licensed for that purpose).
You agree not to:
  • Circumvent, remove, or tamper with any digital rights management (DRM), encryption, or security measures;
  • Record streams (including screen recording or similar tools) for redistribution;
  • Use content obtained via VidReelz for unauthorized commercial purposes, reselling, or piracy.

7. Prohibited Conduct

You agree not to use the Service to:

  1. Violate any applicable law or regulation.
  2. Infringe the rights of any third party, including intellectual property, privacy, or publicity rights.
  3. Upload or distribute content that is:
    • Unlawful, defamatory, harassing, hateful, discriminatory, or invasive of privacy;
    • Pornographic, exploitative, or otherwise inappropriate (especially involving minors);
    • Malicious code, spam, or deceptive schemes.
  4. Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  5. Attempt to interfere with, disrupt, or compromise the security or integrity of the Service (e.g., hacking, scraping, DDoS, reverse engineering).
  6. Use automated means (bots, crawlers, scripts) to access the Service, except as expressly permitted.
  7. Collect or harvest personal information of other users without their consent.
  8. Use the Service for any unauthorized commercial purpose without our express written consent.
We may investigate and take appropriate action (including suspension or termination of accounts and reporting to authorities) for violations of this section.

8. Intellectual Property

8.1 VidReelz Property
The Service and all content and materials provided by VidReelz, including:
  • Software, code, interfaces, and design
  • Logos, trademarks, service marks, and trade dress
  • Original text, graphics, and media
are owned by or licensed to VidReelz and are protected by intellectual property laws. Except as expressly stated in these Terms, no rights are granted to you.

You may not:

  • Copy, modify, distribute, sell, lease, or create derivative works of the Service or its content (other than your own User Content) without our prior written consent.

    • 8.2 Trademarks
    “VidReelz” and associated logos, marks, and slogans are trademarks or service marks of VidReelz. Other names and logos may be trademarks of their respective owners. You may not use any VidReelz trademarks without our prior written consent.

    9. DMCA and Copyright Infringement

    VidReelz respects copyright law and expects users to do the same. It is our policy to:

    • Respond to valid Digital Millennium Copyright Act (“DMCA”) notices of alleged infringement; and
    • Terminate accounts of repeat infringers where appropriate.

    9.1 DMCA Takedown Notices
    If you believe that content on the Service infringes your copyright, you may send a DMCA notice to our designated agent at:

    Your notice must include:

    1. A physical or electronic signature of the copyright owner or authorized agent;
    2. Identification of the copyrighted work claimed to have been infringed;
    3. Identification of the allegedly infringing material and its location on the Service;
    4. Your contact information;
    5. A statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law;
    6. A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.
    We may notify the user who posted the content and may remove or disable access to the content as required by law.

    10. Third-Party Services and Links

    The Service may contain links to third-party websites, services, or resources, including:

    • Payment processors
    • Social media platforms
    • External streaming or licensing sites
    We do not control, endorse, or assume responsibility for any third-party services. Your use of such services is at your own risk and subject to their terms and privacy policies.

    11. Disclaimer of Warranties

    To the fullest extent permitted by law:

    • The Service and all content are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, or statutory.
    • VidReelz disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.
    • We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected.
    • We make no guarantees about the availability of specific content, success of discovery by industry partners, or outcomes for creators, actors, or viewers.
    You use the Service at your own risk.

    12. Limitation of Liability

    To the fullest extent permitted by law:

    1. VidReelz and its affiliates, officers, directors, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or loss of data, goodwill, or other intangible losses, resulting from:
      • Your use of or inability to use the Service;
      • Any conduct or content of any user or third party;
      • Any content obtained from the Service; or
      • Unauthorized access, use, or alteration of your transmissions or content.
    2. Our total liability for all claims relating to the Service shall not exceed the greater of:
      • The amount you paid to VidReelz for the Service in the twelve (12) months immediately preceding the event giving rise to the claim; or
      • One hundred U.S. dollars (US $100).
    Certain jurisdictions do not allow limitations of liability, so some of the above limitations may not apply to you.

    13. Indemnification

    You agree to indemnify, defend, and hold harmless VidReelz and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

    • Your access to or use of the Service;
    • Your User Content;
    • Your violation of these Terms;
    • Your violation of any rights of another person or entity.

    14. Termination and Suspension

    We may, at our sole discretion and without liability, suspend or terminate your access to the Service (including any account) at any time, with or without notice, if we believe that:

    • You have violated these Terms or any applicable law;
    • Your use poses a security or legal risk;
    • We discontinue or materially modify the Service.
    You may also terminate your account at any time by following the instructions in your account settings or contacting us.

    Upon termination:

    • Your right to use the Service ceases immediately;
    • Certain provisions of these Terms will survive termination, including ownership provisions, warranty disclaimers, limitations of liability, and indemnity.

    15. Governing Law and Dispute Resolution

    15.1 Governing Law
    These Terms and your use of the Service are governed by and construed in accordance with the laws of the State of Utah and the United States, without regard to conflict of laws principles.

    15.2 Dispute Resolution; Arbitration (Optional Template)
    Important: The following is a common clause used by many platforms but should be reviewed by counsel.

    You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, “Disputes”) will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. <ulL

  • Arbitration will be conducted by a recognized arbitration provider (e.g., AAA) under its rules.
  • You and VidReelz each waive any right to a jury trial.
  • You and VidReelz agree that any arbitration will be conducted only on an individual basis and not in a class, consolidated, or representative action, and that class actions and class arbitrations are not permitted.
    • If this class action waiver is found unenforceable, then the entire arbitration provision will be null and void, and disputes will be resolved in court in the state or federal courts located in [Salt Lake County, Utah], and you consent to the jurisdiction of such courts.

    16. Changes to These Terms

    We may modify these Terms from time to time. When we do, we will update the “Last Updated” date at the top of this page and may provide additional notice (e.g., by email, banner, or in-Service notification).

    By continuing to use the Service after the new Terms become effective, you agree to be bound by the revised Terms. If you do not agree, you must stop using the Service.

    17. Miscellaneous

    • Entire Agreement: These Terms, together with our Privacy Policy and any additional agreements or policies referenced herein, constitute the entire agreement between you and VidReelz regarding the Service.
    • Severability: If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
    • No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
    • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms, in whole or in part, without restriction.
